These Terms and Conditions (“Terms”) govern your use of the online aggregator platform for financial services, i.e. Quasar Markets (the “Platform”) provided by Quasar Markets, Inc., (referred to as “Quasar,” “we,” “our,” or “us”). By accessing and using the Platform, you agree to be legally bound by these Terms. If you do not agree to these Terms, please refrain from using the Platform.

1.1. By using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our AI Compliance and Disclaimer Policy and any other policies or guidelines we may provide.

2.2. You are solely responsible for maintaining the confidentiality of your account credentials, and you are liable for all activities that occur under your account.

2.3. To use the Platform, you must be of legal age in your jurisdiction.

3. Registration and Account

3.1. To access certain features of the Platform, you may be required to register for an account. You agree to provide accurate and complete information during the registration process.

3.2. You are responsible for safeguarding your account information, and you agree not to share your account credentials with anyone else.

3.3. We reserve the right to suspend or terminate your account at our discretion, if you violate these Terms. Quasar shall not be liable to you or any third party for termination.

4. User Content

4.1. Users may post, upload, or submit content to the Platform, including comments, questions, and reviews. By doing so, you grant the Platform a non-exclusive, worldwide, royalty-free, and transferable right to use, reproduce, distribute, and display your content.

4.2. You are solely responsible for the content you post and must not infringe upon the rights of others.

5. Prohibited Activities

5.1. You agree not to use the Platform for any unlawful or unauthorized purpose, including but not limited to:

• Violating any applicable laws or regulations.
• Impersonating others or misrepresenting your identity.
• Posting false, misleading, or fraudulent information.
• Uploading or transmitting viruses, malware, or malicious code.

6. Disclaimers

6.1. The information and services provided on the Platform should not be considered a substitute for professional advice. We make no representations or warranties about the accuracy, reliability, or completeness of the information.

6.2. We do not endorse, recommend, or guarantee the performance of any specific financial products or services.

6.3.This platform is provided on an “as is”, “as available” basis. neither quasar, nor its affiliates represents or warrants that the platform will be available, accessible, uninterrupted, timely, secure, accurate, complete, entirely error-free or virus free nor does platform make any warranty as to the results that may be obtained from the use of the platform or as to the accuracy or reliability of any content or any information or products obtained through the platform or that defects in the platform will be corrected. you expressly acknowledge that this platform and the services are computer network-based services, which may be subject to outages, interruptions, attacks by third parties and delay occurrences. in such an event and subject to the terms
hereof, quasar shall use commercially reasonable efforts to remedy material interruptions and will provide adjustments, repairs and replacements, within its capacity, that are necessary to enable the platform to perform their intended functions in a reasonable manner. you acknowledge that quasar does not warrant that such efforts will be successful. if quasar’s efforts are not successful, you may cease using the platform. the foregoing shall constitute your sole remedy, and quasar’s sole liability, in the event of interruption, outage or other delay occurrences of the platform. you waive and covenant not to assert any claims or allegations of any nature arising from or relating to your use of the platform, including, without limitation, all claims and allegations relating to the alleged infringement of proprietary rights, the alleged inaccuracy of content, or allegations that quasar has or should indemnify, defend, or hold you harmless from any claim or allegation arising from your use, republication or other exploitation of the platform. you use the platform at your own risk and neither quasar nor the parties who provide information and materials for publication within the platform will be liable for any damages arising from your use of this platform. you understand and agree that any material or data downloaded or otherwise obtained through the use of the platform or the services is done at your own discretion and risk and that user will be solely responsible for any damage to its computer system, loss of service or loss of data that results from the download or use of such material or data.

6.4.Except as expressly set forth in this section, quasar specifically disclaims all representations, warranties, and conditions whether express or implied, arising by statute, operation of law, usage of trade, course of dealing, or otherwise, including but not limited to, warranties or conditions of merchantability, fitness for a particular purpose, non-infringement, or title with respect to the platform or services, or other services or goods provided through this platform. for the avoidance of doubt, you agree that quasar does not represent or warrant that the platform will be available, accessible, uninterrupted, timely, secure, accurate, complete, or entirely error-free.

7.Access to password-protected/Secure areas

7.1. Access to and use of password-protected and/or secure areas of the Platform is restricted to authorized users only. Unauthorized individuals attempting to access these areas of the Platform may be subject to prosecution.

8.Links to third-party sites are not endorsements

8.1. The Platform contains links to third-party websites. The linked sites are not under the control of Quasar, and Quasar is not responsible for the contents or policies of any linked site. Quasar provides these links as a convenience only, and a link does not imply endorsement of, sponsorship of, or affiliation with the linked site by Quasar. Links to merchants or advertisers are owned and operated by independent retailers or service providers, and therefore, Quasar cannot ensure that you will be satisfied with their products, services or practices. You should make whatever investigation you feel necessary or appropriate before proceeding with any transaction with any of these third parties.

9.Indemnity

9.1. You agree to indemnify, defend and hold Quasar, its owner, licensee, affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys’ fees, made by any third party or penalty imposed due to or arising out from

(i) your misrepresentations, fault, misconduct or failure to perform or any other act related to these Terms; (ii) your breach or alleged breach of these Terms, Privacy Policy and other policies of Quasar, or (iii) your or alleged violation of any federal, state, international or local law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party, or (iv) your use of the Platform, or (v) your advertising, marketing, promotion, sale, or distribution of any products or services, (vii) Paragraph 7.3 below. We reserve the right to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. In the event you cause fines and/or penalties to be charged to Quasar by the credit card associations or any other entity, you agree to reimburse Quasar immediately for said fines and/or penalties.

9.2. Quasar makes no warranty of any kind hereunder, whether express or implied, statutory or otherwise, concerning its services or activities on the Platform, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Quasar takes no responsibility and assumes no liability for any content posted by you or any third party.

9.3. Quasar shall neither be liable nor responsible for any of your actions or inactions nor any breach of conditions, representations or warranties by you and accordingly, Quasar hereby expressly disclaim and any all responsibility and liability in that regard. Quasar shall not mediate or resolve any dispute or disagreement between you and any service provider or an advertiser or any other third party on the Platform. Quasar further expressly disclaim any warranties or representations (express or implied) in respect of quality, suitability, accuracy, reliability, completeness, timeliness, performance, safety, merchantability, fitness for a particular purpose, or legality of the ad materials displayed or the content (including product or pricing information and/or specifications) on Platform by any service provider or an advertiser or any other third party on the Platform. At no time shall any right, title or interest in the ad material displayed on the Platform vest with Quasar nor shall Quasar have any obligations or liabilities in respect of any transactions on the Platform. Notwithstanding anything to the contrary contained herein, however, in compliance with the applicable law, in no event Quasar shall have any liability arising out of or in connection with your usage of the Platform.

10. Limitation of Liability

10.1. Neither Quasar nor any officer, affiliate, director, shareholder, agent, contractor or employee of Quasar will be liable to you or any third party for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from, but not limited to:

• (a) Your access to or use of the Platform, or inability to access or use the Platform.
• (b) Any unauthorized access to or use of our secure servers and/or any personal information stored therein.
• (c) Any interruption or cessation of transmission to or from the Platform.
• (d) Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Platform by any third party.
• (e) Any information, content, materials, products (including software) or other services included on or otherwise made available to you through the Platform.
• (f) Any errors or omissions in any content or for any loss or damage of any kind
  incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via. the Platform, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not we have been informed of the possibility of such damage.

10.2.Quasar expressly disclaims any liability or loss arising from or related to the platform (however arising, including negligence), including without limitation, liability or loss associated with unauthorized access to any server, merchant interfaces, websites, facilities, or your data or your customer data (including credit card numbers and other personally identifiable information) due to accident, illegal or fraudulent means, including hacking, or devices used by any third party, or other causes beyond quasar’s reasonable control. you expressly agree that quasar shall not be liable for any loss arising from infiltration of the platform by means of software viruses, trojan horses, worms, time bombs, or any other software programs, or technology designed or intended to disrupt, damage, intercept or expropriate data from the platform.

10.3. Essential Purpose: You acknowledge and agree that the limitations and exclusions of liability set forth in this section are fundamental elements of these Terms and the Platform’s essential purpose.

11. Intellectual Property Rights

The Platform is proprietary to Quasar. All the text, images, marks, logos and other content of the Platform (“Platform Content”) is proprietary to Quasar or to third parties from whom Quasar has obtained permission. Quasar authorizes you to view, download, and print the Platform Content provided that: (i) you may only do so for your own personal and non-commercial use; (ii) you may not copy, publish or redistribute any Platform Content; (iii) you may not modify Platform Content; (iv) you may not remove any copyright, trademark, or other proprietary notices that have been placed in the Platform Content by Quasar. Except as expressly permitted above, reproduction or redistribution of the Platform Content, or any portion of the Platform Content, is strictly prohibited without the prior written permission of Quasar. You represent and warrant that your use of Platform Content will be consistent with this license and will not infringe or violate the rights of any other party or breach any contract or legal duty to any other parties.

12. Limited Role as an Aggregator

12.1. We solely act as an aggregator platform and provide access to information and services offered by third-party service providers and/or advertisers, which may include but are not limited to, product sellers, service providers, financial institutions, and other entities (collectively referred to as “Third Parties”).

12.2. We do not directly provide the services or products listed on our platform. Any transactions or agreements made with Third Parties are independent of us, and we are not a party to such transactions.

13.Disclosure; Forward-looking Statements

13.1. Certain statements that are not historical fact contained in the Platform may constitute forward-looking statements. Quasar undertakes no obligation to update any forward-looking statements. Nothing contained in this Platform constitutes an offer to sell or solicitation of an offer to buy any of the Quasar’s securities.

14. Privacy

14.1. Your use of the Platform is also governed by our Privacy Policy, which is incorporated by reference into these Terms. The Privacy Policy outlines how we collect, use, and protect your personal information.

15. Enforcement & Changes to the Terms

15.1. Quasar reserves the right and has absolute discretion to enforce the Terms. Quasar may, in its sole discretion, immediately terminate or suspend: (i) any agreement, if executed; and/or (iii) access to this Platform, if it determines that your services, offerings or activities violate the Terms. Without limitation, Quasar also reserves the right to report any activity (including the disclosure of appropriate data or merchant information) that it suspects may violate any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties. Quasar also may cooperate with appropriate law enforcement agencies to assist in the investigation and prosecution of any illegal conduct. 15.2. We reserve the right to modify these Terms at any time. We will notify users of any significant changes. Your continued use of the Platform after such modifications
constitutes your acceptance of the updated Terms. Should you object to any provision of the Terms or any subsequent modifications thereto, your only recourse is immediately to: (a) terminate use of the Platform; and (b) notify Quasar of termination.

16. Governing Law and Jurisdiction

16.1. The Policy is accessible in United States of America and other countries, and each of these places has laws that may differ from those of State of Delaware and from each other. As you and Quasar both benefit from establishing a predictable legal environment in which to publish, access and use the Platform, by publishing, accessing, and/or using the Platform, you and Quasar agree that all matters arising from or relating to the use and operation of the Platform will be governed by the laws of the State of Delaware, without regard to its conflicts of laws principles. You agree that all claims it may have arising from or relating to the operation or use of this Platform will be heard and resolved in the courts of State of Delaware, United States of America. You consent to the personal jurisdiction of such courts over it, stipulate to the fairness and convenience of proceeding in such courts, and covenant not to assert any objections to proceeding in such courts.

17.Force Majeure

17.1. Quasar shall not be liable for any losses arising out of the delay or interruption of its performance of obligations due to any acts of God, acts of civil or military authorities, civil disturbances, wars, strikes or other labor disputes, fires, transportation contingencies, interruptions in telecommunications, utility, internet services or network provider services, acts or omissions by a third party, infiltration or disruption of the services by a third party, or other catastrophes or occurrences that are beyond Quasar’s reasonable control.

18. General

18.1. In the event that any provision of the Terms shall, in whole or in part, be determined to be invalid, unenforceable or void for any reason, such determination shall affect only the portion of such provision determined to be invalid, unenforceable or void, and shall not affect in any way the remainder of such provision or any other provision of the Terms. Quasar’s failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches.
